All fees are exclusive of taxes, which we will charge as applicable. You are responsible for paying all taxes associated with your use of the Services.

5. Intellectual Property Rights

5.1 sabry’s Intellectual Property

All rights, title, and interest in and to the Services and Content, including all intellectual property rights, are owned by or licensed to sabry. Nothing in these Terms grants you any right, title, or interest in the Services or Content except for the limited license expressly set forth in Section 5.3.

5.2 Your Intellectual Property

You retain all rights, title, and interest in and to your User Data. You grant sabry a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Data solely for the purposes of providing the Services to you.

5.3 Limited License

Subject to your compliance with these Terms, sabry grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services during the term of your subscription.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, sabry SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF sabry HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify, defend, and hold harmless sabry, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your violation of these Terms.

10. Term and Termination

10.1 Term

These Terms will remain in effect until your subscription expires or is terminated.

10.2 Termination by You

You may terminate your subscription at any time by following the instructions on our website or contacting our customer support.

10.3 Termination by sabry

sabry may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

10.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We may modify these Terms at any time. We will provide notice of such changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be finally settled by arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and sabry regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

13.2 Waiver

No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.

13.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms in whole or in part at any time without your consent.

13.5 Force Majeure

sabry shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, terrorism, war, civil unrest, or government action.
